Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Pacely, including our website at pacely.me, our iOS and Android applications, and any related services, features, and content (collectively, the "Service"), operated by Pacely Running ("Pacely," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) to use the Service. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

3. Your Account

The Service uses passwordless sign-in (magic links sent by email and one-time codes sent by SMS). You agree to provide accurate account information, to keep your sign-in links, codes, and devices secure, and to maintain control of the email address and/or phone number associated with your account. You are responsible for all activity that occurs under your account. Notify us promptly at isa@pacely.me if you believe your account has been accessed without authorization.

4. Your Content and Ownership

"Your Content" means anything you add to the Service, including your profile text and photo, race results and personal records, gear details, links, FAQ answers, club pages you manage, and posts or comments you make on club boards.

You keep ownership of Your Content. By submitting Your Content, you grant Pacely a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt (for formatting and display), and distribute Your Content as needed to operate and provide the Service - including displaying public profiles and club pages to anyone with the link. This license ends when you delete the relevant content or your account, except for (a) content others have shared or saved, (b) residual backup copies retained for a limited period, and (c) anonymized or aggregated data that no longer identifies you.

You are responsible for Your Content and represent that you have the rights to submit it and that it does not violate these Terms or any law or third-party right.

5. Public Profiles and Sharing

Published runner profiles (passports) are public by design. Once you publish your profile, the information you choose to include can be viewed by anyone with your profile link or who finds it through the Service. Club pages and event listings are also public-facing. Do not publish information you are not comfortable making public. You are responsible for what you choose to publish.

Race history and other accomplishments shown on profiles are self-declared and are not independently verified by Pacely unless we expressly say otherwise. You are responsible for the accuracy of race results, claims, and other information you add.

6. Clubs, Events, and RSVPs

The Service lets clubs publish pages and events, and lets runners save runs, RSVP to events, and join clubs.

  • Club organizers are responsible for the accuracy of their club and event information, for managing their members and rosters, and for any waivers, rules, or requirements they impose on participants. Pacely is not the organizer of any club or event and is not responsible for what happens at any run, race, meetup, or other event listed on the Service.
  • Runners are responsible for confirming event details directly with organizers, for assessing their own fitness to participate, and for their own safety. Running and related physical activity carry inherent risks. You participate at your own risk.
  • RSVPs, saved runs, capacity, and waitlists are conveniences and do not guarantee a spot, an event taking place, or anything about an event's conduct or safety.

7. Unclaimed Listings

To make the Service useful from day one, Pacely creates and maintains some club listings using publicly available information ("unclaimed listings"). These listings:

  • are clearly marked as created by Pacely rather than by the club;
  • are compiled from public information and may be incomplete or out of date;
  • include a notice to confirm details with the organizer before attending; and
  • link to the club's own official channels for the latest information.

If you are a club organizer and want your listing corrected, claimed, or removed, contact us at isa@pacely.me and we will act promptly. We do not claim endorsement by, or affiliation with, any club shown as an unclaimed listing.

8. Acceptable Use

You agree not to:

  • violate any law or regulation, or infringe anyone's intellectual property, privacy, or other rights;
  • post content that is unlawful, fraudulent, harassing, hateful, threatening, defamatory, sexually explicit, or that exploits or endangers minors;
  • impersonate any person or club, or misrepresent your affiliation or accomplishments;
  • attempt to gain unauthorized access to the Service, other accounts, or our systems; probe or test for vulnerabilities without authorization; or interfere with the Service's reliability, integrity, or security;
  • scrape, harvest, or bulk-collect data from the Service except as expressly permitted by us in writing or through our published API; or
  • use the Service to send spam or unsolicited messages.

We may remove content, restrict features, or suspend or terminate accounts that we reasonably believe violate these Terms or harm the Service or others. We are not obligated to monitor content, but we may do so.

9. API and Agent Access

If we make an API or agent-access available, your use of it is subject to these Terms and any additional documentation or scopes we publish. API keys and agent tokens are credentials tied to your account; keep them secure and do not share them. You are responsible for actions taken through any agent or integration you authorize. We may rate-limit, modify, suspend, or revoke API or agent access at any time.

10. Third-Party Links and Services

The Service displays links to and information from third parties, such as Strava, Instagram, race organizers (e.g., NYRR, NYCRuns, RunSignup), and other sites. We do not control and are not responsible for third-party content, services, or practices. Your use of third-party services is governed by their terms and policies, not ours.

11. Fees

The Service is currently free to use. If we introduce paid features in the future, we will disclose the applicable pricing and terms before you incur any charge, and additional terms may apply to those features.

12. Intellectual Property

The Service itself - including the Pacely name, logo, the pronghorn mascot, software, design, and other materials we provide (excluding Your Content and third-party content) - is owned by Pacely or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service except as permitted by law or with our written permission.

13. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice with the information required under the U.S. Digital Millennium Copyright Act (DMCA) to our designated agent at isa@pacely.me. We may remove allegedly infringing content and terminate repeat infringers' accounts.

14. Account Termination and Deletion

You may delete your account at any time from the Service's account settings. Account deletion is a permanent hard delete and requires confirmation (typing your account email and clicking a confirmation link sent to that email). Once completed, your account and associated profile content cannot be recovered.

We may suspend or terminate your access at any time if you violate these Terms, if required by law, or to protect the Service or others. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Service Availability and Changes

We aim for reliable service but do not guarantee uninterrupted or error-free availability. We may update, add, pause, or remove features as the product evolves, and we may discontinue the Service or any part of it. We are not liable for any modification, suspension, or discontinuation of the Service.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT (INCLUDING EVENT DETAILS, LISTINGS, OR RACE DATA) IS ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACELY AND ITS FOUNDERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR PERSONAL INJURY ARISING FROM EVENTS OR ACTIVITIES DISCOVERED OR ORGANIZED THROUGH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

18. Indemnification

You agree to indemnify and hold harmless Pacely and its founders, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York, New York, and you consent to personal jurisdiction there.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you in the Service). Your continued use of the Service after changes take effect means you accept the updated Terms.

21. Apple App Store Terms

If you use our iOS app obtained from the Apple App Store, you acknowledge:

  • These Terms are between you and Pacely only, not Apple, and Apple is not responsible for the app or its content.
  • Your license to use the app is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
  • Apple has no obligation to provide maintenance or support for the app.
  • To the extent permitted by law, Apple has no warranty obligation for the app, and any warranty claims will be handled by Pacely.
  • Apple is not responsible for addressing claims relating to the app, including product liability, legal/regulatory compliance, and consumer protection claims.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

22. Google Play Terms

If you obtained our Android app from Google Play, your use is also subject to the Google Play Terms of Service. To the extent of any conflict between these Terms and the Google Play Terms regarding your use of the app, the Google Play Terms govern but only as to that conflict.

23. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Pacely regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
